These Terms of Service ("Terms") govern your access to and use of the Navexa platform, including our website, applications, APIs, and all related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Service Description

Navexa provides an e-commerce fulfillment and shipping management platform that enables businesses to:

  • Compare and purchase shipping labels from multiple carriers
  • Optimize package dimensions using AI-powered box selection
  • Manage inventory across multiple sales channels
  • Forecast inventory needs based on historical data
  • Integrate with e-commerce platforms such as Shopify, WooCommerce, and Amazon
  • Track shipments and manage returns

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

2. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Ship prohibited or illegal items as defined by applicable laws or carrier policies
  • Use the Service to facilitate fraud, money laundering, or other illegal activities
  • Provide false or misleading information when creating shipping labels
  • Attempt to circumvent carrier shipping restrictions or regulations
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated systems or software to access the Service without our express permission
  • Resell or redistribute our shipping rates or services without authorization

Violation of these acceptable use policies may result in immediate suspension or termination of your account without refund.

3. User Account Responsibilities

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You are responsible for all shipping labels purchased and actions taken through your account. We recommend enabling two-factor authentication for enhanced security.

4. Billing Terms for Shipping Labels

Navexa operates on a pay-as-you-go model for shipping labels. By using our Service, you agree to the following billing terms:

4.1 Payment Processing

  • All payments are processed securely through Stripe, our third-party payment processor
  • You must maintain a valid payment method on file to purchase shipping labels
  • Charges are applied immediately upon label purchase
  • All prices are displayed in USD unless otherwise specified

4.2 Shipping Label Pricing

  • Shipping rates are provided by our carrier partners and may vary based on package dimensions, weight, origin, and destination
  • Displayed rates are estimates and final charges may differ based on actual package measurements verified by carriers
  • Carrier surcharges, fuel surcharges, and address correction fees may apply
  • We pass through carrier rates without markup; our service fee is included in your subscription or per-label fee

4.3 Refunds and Voids

  • Unused labels may be voided within 14 days of purchase for a full refund
  • Refunds are processed to the original payment method within 5-10 business days
  • Used or scanned labels are not eligible for refunds
  • Carrier-specific refund policies may apply in certain circumstances

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Navexa and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.1 Our Intellectual Property

The Navexa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Navexa or its affiliates. You may not use such marks without our prior written permission.

5.2 Your Content

You retain ownership of any data, content, or materials you upload to the Service. By using our Service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Service to you.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • NAVEXA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NAVEXA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR CARRIER DELAYS, LOST PACKAGES, OR DAMAGED SHIPMENTS BEYOND THE EXTENT OF CARRIER-PROVIDED INSURANCE OR CLAIMS PROCESSES
  • WE DO NOT GUARANTEE DELIVERY TIMES OR THE ACCURACY OF CARRIER TRACKING INFORMATION

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not make any warranties regarding the accuracy or reliability of shipping rate quotes, delivery estimates, or any information obtained through the Service.

8. Termination and Account Cancellation

8.1 Termination by You

You may cancel your account at any time through your account settings or by contacting our support team at support@navexa.co. Upon cancellation:

  • Your access to the Service will be terminated immediately
  • Any unused shipping labels may be voided according to our refund policy
  • We will retain your data for 30 days, after which it will be permanently deleted
  • You may request a data export before account deletion

8.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms or our Acceptable Use Policy
  • You engage in fraudulent or illegal activities
  • Your payment method is declined or invalid
  • We are required to do so by law

Upon termination for cause, you will not be entitled to any refunds for prepaid fees or unused services.

9. Dispute Resolution

9.1 Informal Resolution

Before filing a formal dispute, you agree to first contact us at support@navexa.co and attempt to resolve the dispute informally. We will work with you in good faith to resolve any issues within 30 days.

9.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, USA, and the arbitrator's decision shall be final and binding.

9.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in any class action, collective action, or representative proceeding.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any legal proceedings arising from these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will notify you via email or through a prominent notice on our Service
  • Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms

We encourage you to review these Terms periodically to stay informed about our policies.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
